01 Acceptance of Terms

• By accessing or using Legal Cover, including this website and any subscription plan, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use the website or subscribe to any plan.
• If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
• We reserve the right to modify these Terms at any time. We will make reasonable efforts to notify subscribers of material changes. Continued use of the website or continuation of a subscription after such changes constitutes acceptance of the new Terms.

02 Definitions

• "Content" means any text, graphics, images, music, software, audio, video, information or other materials.
• "User" means any individual who accesses or uses the website.
• "Client" means any individual or business that has subscribed to, or is otherwise engaged with, a Legal Cover Plan.
• "Plan" or "Subscription" means the fixed-fee legal advisory package selected by a Client at sign-up, as described on the website at the time of purchase.
• "Services" means the legal advisory, consultancy, and related support services made available under a Plan, provided directly by Legal Cover or through its Partner Firms.
• "Fees" means all amounts payable by a Client for a Plan or Services, including subscription fees and any additional charges agreed in writing.
• "We", "us", and "our" refer to Legal Cover, the owner and operator of the website.

03 Scope of Services

• Legal Cover provides outsourced legal advisory and legal consultancy services to individual and business Clients in the United Arab Emirates. Legal Cover does not provide court representation or advocacy services.
• Where a matter requires court representation, advocacy, or other services outside the scope of a Client's Plan, Legal Cover may, at its discretion, refer the Client to a Partner Firm. Any engagement with a Partner Firm for such services is a separate matter between the Client and that firm, on that firm's own terms.
• Nothing in these Terms, the website, or any communication from Legal Cover creates a client-attorney relationship between the Client and Legal Cover itself, except to the extent expressly agreed in writing for a specific matter.
• Legal Cover does not guarantee any particular outcome from advice or Services provided. Advice is based on the information provided by the Client, and its accuracy depends on the completeness and accuracy of that information.

04 Eligibility and Use of the Website

• Eligibility: You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to use this website or subscribe to a Plan. If subscribing on behalf of a business, the business must be validly registered and the individual signing up must be authorised to act on its behalf.
• License to Use: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the website for personal or internal business purposes connected to your Plan, subject to these Terms.
• Prohibited Uses: You agree not to:
  • Use the website for any illegal purpose or in violation of any applicable law.
  • Violate or encourage others to violate the rights of third parties, including intellectual property rights.
  • Post, upload, or distribute unlawful, defamatory, libelous, inaccurate, or objectionable Content.
  • Interfere with security-related features of the website.
  • Use or attempt to use another user's account without authorization.
  • Use the website in any manner that could interfere with or disrupt other users' enjoyment of the website.

05 User Accounts

• Account Creation: Some features of the website, and all Plans, require you to create an account. You agree to provide accurate, current, and complete information during the registration process, and to keep this information up to date.
• Account Responsibilities: You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account.

06 Subscription, Billing and Payment

• Billing Cycle: Subscription Fees are billed in advance on the billing cycle selected at sign-up (monthly or annual, as applicable to the Plan chosen).
• Auto-Renewal: Subscriptions renew automatically at the end of each billing cycle unless cancelled in accordance with Clause 08 prior to the renewal date.
• Fee Changes: We may change Plan Fees from time to time. Any change will apply from the next renewal date onward and will not affect a billing cycle already paid for.
• Late or Failed Payment: We may suspend access to Services if Fees are not received by the due date, without prejudice to any other rights available to us.

07 Refunds

• All Fees paid to Legal Cover, including subscription Fees, Plan Fees, and Fees for any Services rendered, are non-refundable. This applies regardless of the extent to which the Services or Plan have been used.
• Legal Cover may, at its sole and absolute discretion, agree to issue a full or partial refund in exceptional circumstances. Any such refund is granted on a case-by-case basis, does not constitute an admission of liability, and does not set a precedent for any future request.

08 Cancellation and Termination

• By the Client: A Client may cancel their subscription at any time through their account or by written notice to us. Cancellation takes effect at the end of the current billing period. No partial-period or pro-rata refund is issued for early cancellation, in line with Clause 07.
• By Legal Cover: We may suspend or terminate a Client's access to the Services or website, with or without notice, if the Client breaches these Terms, fails to pay Fees when due, or engages in conduct we reasonably consider abusive, fraudulent, or harmful to Legal Cover or its Partner Firms.
• Effect of Termination: On termination or cancellation for any reason, the Client's right to access the Services ends, but any Fees already due remain payable, and any obligations under Clauses 07 (Refunds), 09 (Intellectual Property), 11 (Confidentiality and Data Protection), 13 (Limitation of Liability), 14 (Indemnification), and 17 (Governing Law and Dispute Resolution) survive termination.

09 Intellectual Property

• Ownership: The website and its original Content, features, and functionality are owned by Legal Cover and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
• Restrictions: You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on our website, except as incidental to normal web browsing or as expressly permitted in writing by us.
• Advice and Work Product: Any advice, drafts, or documents prepared specifically for a Client as part of the Services belong to that Client upon delivery, save for any underlying precedents, templates, or methodology owned by Legal Cover or a Partner Firm, which remain their property.

10 User-Generated Content

• Responsibility: Any Content you post, upload, share, store, or otherwise provide through the website is your User Content. You are solely responsible for your User Content.
• License Grant: By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content.
• Representations: You represent and warrant that you have all rights necessary to grant the licenses granted in this section, and that your User Content does not violate applicable laws or the rights of any third party.

11 Confidentiality and Data Protection

• We treat information a Client shares with us in connection with the Services as confidential, and will not disclose it to third parties except: (a) to the Partner Firm handling the Client's matter, (b) where required by law or a competent authority, or (c) with the Client's consent.
• We process personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (as amended) and our Privacy Policy.
• Clients are responsible for ensuring they have the right to share any third-party personal data provided to us in connection with the Services.

12 Third-Party Links

The website may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

14 Indemnification

You agree to indemnify and hold harmless Legal Cover, its affiliates, agents, directors, and employees from any claims, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms, (b) inaccurate or incomplete information provided by you, or (c) your misuse of any advice or Services provided.

15 Complaints

If a Client is unhappy with any aspect of the Services, they may raise this with us at help@legalcover.ae. We aim to acknowledge complaints promptly and to work with the Client and, where relevant, the Partner Firm involved, to resolve the matter.

16 General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any Plan-specific terms provided at sign-up, constitute the entire agreement between the Client and Legal Cover in relation to their subject matter.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Notices: Formal notices under these Terms should be sent to help@legalcover.ae, or to the address provided by the Client at sign-up.

17 Governing Law and Dispute Resolution

• These Terms are governed by, and shall be construed in accordance with, the laws of the United Arab Emirates.
• The Parties shall first attempt to resolve any dispute arising out of or in connection with these Terms through good-faith discussion. If unresolved within a reasonable period, the dispute shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
